This document is an electronic record in terms of the Information Technology Act, 2000 (as may be amended, modified, re-enacted, consolidated or replaced from time to time) and rules thereunder pertaining to electronic records as applicable and amended from time to time, and is published in accordance with the provisions of Rule 3 of the Information Technology (Intermediaries guidelines and Digital Media Ethics Code) Rules, 2021. This document is generated by a computer system and does not require any physical or electronic signature.
Section 1
Introduction
These Terms and Conditions ("Terms") concern the use of and access to the Platform and the Services (as defined hereinafter). The use of the terms "Ardee", "School", "We", "Us" or "Our" in these Terms shall refer to The Ardee School, New Delhi, which is engaged in operating the website located at [*please insert relevant weblink at the time of publication] ("Website") and mobile application(s) ("Application" or "App") under the name "Run on Atlas" (collectively "Platform") whereat the User(s) (as defined below) can access their Account (as defined below) to avail the Services (as defined below).
For the purpose of these Terms, wherever the context so requires, 'You', 'Your', 'Yourself' and/or 'User(s)' (as further defined below) shall mean relevant person(s) who access, view or visit the Platform and access or participate in the Services offered on the Platform, including through engaging with the Platform and providing any information thereon. Any titles or headings inserted in these Terms are for convenience only and shall not affect the interpretation of the provisions of the Terms.
Users understand, acknowledge and agree that these Terms govern Your access and the use of all features, content, related activities and other services that We own, control and make available through the Platform and any other applications, tools, products, and services that We may provide from time to time (collectively, 'Services' as elaborated hereunder). By visiting or accessing the Platform or using or accessing Services made available thereon by the School, You acknowledge and accept these Terms and enter into a binding contract with Us.
We encourage and advise all Users to read and understand these Terms prior to making use of the Platform and the Services. Your use of, and access to, the Platform and Services is subject to these Terms. Any usage of the Platform or Services in any manner whatsoever shall be governed by these Terms read with the privacy policy published on the Platform ('Privacy Policy') along with such other policies as may be framed by Us from time to time (as available at Our Platform) (the "Policies") and any agreements or documents governing the enrollment of a Student (as defined below) with the Ardee School together form Our collective agreement ("Agreement") with the User in relation to Your use of the Platform and the Services. Users shall be subject to and bound by the Agreement, regardless of how the Users, or anyone on their behalf, has accessed or used the Platform or Services.
The capitalized terms not defined in the Terms shall have the meanings ascribed to them in the Privacy Policy and/or Agreement governing Your use of the Platform.
Users acknowledge and accept that access to and use of the Platform is provided subject to their engagement by or enrollment with the Ardee School and is subject to these Terms. Users must comply with these Terms at all times, failing which their continued access to the Platform and the Services may be affected. Any act or omission, whether express or implied, that contravenes these Terms may render the User liable to penal action by the Ardee School and/or result in the suspension or termination of their access to the Platform.
Section 2
Definitions
For the purposes of these Terms, in addition to any words, expressions or terms expressly defined in the introduction and in the text of these Terms, any references to the following terms, words and expressions, wherever used in these Terms, unless repugnant to the meaning or context thereof, shall have the following meanings:
- "Applicable Law(s)" shall mean the applicable laws, statute, rule, regulation, ordinance, guideline, by-law, or subordinate legislation of India as well as all amendments to the same which come into force from time to time;
- "Account" shall mean the virtual registered user profile or account (and associated login credentials) generated for a User on the Platform by the School, access to which is provided to Student(s) (as defined below) and their Legal Guardian(s) (as defined below) by Ardee following satisfactory completion of enrollment and verification processes implemented by the School in accordance with the Agreement;
- "Ardee Staff" shall have the meaning ascribed to such term in the Privacy Policy and shall refer to authorized teachers and staff members of the School who have been authorized and granted administrative access to view or use the Platform in connection with their respective roles in relation to the Services;
- "Atlas Score" shall mean the performance score attributed to a Student, which is generated using academic and performance-related information recorded within the Platform by authorized Ardee Staff and displayed on the Platform in the manner detailed herein;
- "Authorized Person(s)" shall have the meaning ascribed to such term in the Privacy Policy and shall refer to Ardee Staff, including Our in-house healthcare providers, and other natural or legal person(s) with whom the School has a definitive arrangement in relation to the functioning of the Platform and its Services, including for facilitating, providing, or delivering any information, resources, or functionalities through the Platform or within the School;
- "Business Partner(s)" shall refer to any natural or legal person(s) with whom We have a business arrangement or collaboration in relation to the functioning of the Platform and its Services, such as for facilitating, providing and/or delivering certain technical and other functionalities relating to the Platform, or features or aspects of any Services provided to User(s) on the Platform. Our Business Partner(s) principally comprise information technology and cloud storage service providers engaged by the Ardee School to host, store, and maintain the Platform and connected data;
- "Content" shall have the meaning ascribed in Our Privacy Policy and shall include any information, data, or materials voluntarily submitted or uploaded on the Platform by Users, such as images, files, or other documents uploaded in connection with the Services, including submission of School assignments, or activity-related consents granted by the Legal Guardian in accordance with the Agreement. The Content may include Personal Information as defined in the Privacy Policy;
- "Platform" shall mean the relevant Website and Application specified above and shall include any connected digital platforms through which the Services are made available by the School;
- "Legal Guardian(s)" shall have the meaning ascribed to such term in the Privacy Policy and shall refer to the parent(s) or authorized legal guardian(s) of a Student enrolled with the School, who are granted access to the Platform in accordance with the Agreement;
- "Minor" shall have the meaning ascribed in the Privacy Policy and shall refer to a Student/User below the age of eighteen (18) years, whose access to and use of the Platform and Services is subject to the consent of their Legal Guardian in accordance with the Agreement;
- "Student(s)" shall have the meaning ascribed to such term in the Privacy Policy and shall further refer to students enrolled with the School, at its relevant locations in India, who have been granted access to the Platform in accordance with the Agreement;
- "User(s)", "You", "Your", "Yourself" shall mean a natural person who is validly registered on the Platform and provided an Account or granted access for availing any of the features, functionalities and other Services of the Platform and who in connection with the Platform and the Services may access, view, display, download or upload any information on the Platform. Users shall include the person(s) referred to under Clause 1 above and shall more specifically refer to (a) Ardee Students; (b) Legal Guardian; and (c) Ardee Staff, who have created an account or otherwise been granted administrative access or login credentials to view or use the Platform. Users are granted role-based permissions that determine the content and features they may view or use on the Platform in accordance with Our Terms.
For the avoidance of doubt, where a User is a Minor or is otherwise not competent to contract under applicable law, reference to the terms "User(s)", "You", "Your", "Yourself" shall be deemed to refer to their Legal Guardian (who is authorized to provide binding consent on the Minor's behalf) for the purposes of providing consent, and undertaking any act, on behalf of the Minor. Any reference to a "User" providing information, consent, or instructions under this Privacy Policy shall, in respect of a User who is a Minor, be read as a reference to the Legal Guardian acting on the Minor's behalf.
- "User Information" shall mean information relating to a User, as may be provided to the School under the Agreement for the purpose of enrollment or in the course of enrollment with the School, including Personal Information and Content and/or other data and information received or collected for the purpose of the Services, as per Our Privacy Policy. User Information may be uploaded on the Platform by User(s) or by Ardee Staff on behalf of User(s), at the time of creation of the User's Account or at any time during the User's enrollment with the School, and/or use of the Platform and the Services; and
- "Services" shall have the meaning ascribed to the term in Clause 1 above and Our Privacy Policy and shall refer to the services that are offered or made available to User(s) through the Platform. For reference, Our Services include academic progress monitoring, homework and learning resources, attendance and timetable information, school calendar and events, role-based communication tools, student information management, and AI-driven academic support features as further detailed herein.
Section 3
Acceptance of Terms and General Conditions
- By using the Platform in any manner or accessing any of the Services, You declare that You have read, understood, and accepted the provisions of these Terms in full and hereby agree to comply with, and be bound by, the Terms. You hereby agree to be bound by these Terms in respect of such use of the Platform and to be liable for all activities conducted by You on the Platform.
- To be eligible for the Services, Users must be engaged with or enrolled with Ardee (as may be applicable), should be of legal age to form a binding contract and should not be otherwise barred from receiving Services under the laws of India. By availing Our Services, You represent that You are a person of legal age to form a binding contract and are not a person barred from receiving Services. For avoidance of doubt, Ardee requires Legal Guardians to provide consent for Minor Students to access the Platform (via an Account) at or during the Minor's formal enrollment with the School, subject to the School's verification procedures. Minors (being persons less than eighteen years of age in India) are not eligible and not permitted to access the Platform and avail the Services in the absence of the prior verified permission and consent of their Legal Guardian(s).
- A Minor Student may make use of the Platform and the Services with the prior consent of their Legal Guardian, which consent is obtained at the time of, and in the course of, the Minor's formal enrollment with the School in accordance with the Agreement. If You are a Legal Guardian of a Minor and You provide consent for the Minor in Your care to access the Platform or use the Services in any manner, You are responsible for such Minor's use of the Platform or Services, including all actions and omissions of such Minor, and agree to be bound by these Terms in respect of such Minor. Your agreement to these Terms, including in respect of any Minor in Your care, shall indicate that You have the right, authority, and legal capacity to agree to these Terms and that You have read, understood, and agree to be bound by the same with respect to Yourself and any Minor in Your care who has access to the Platform and the Services.
- We reserve the right, at Our sole discretion, to change, modify, add, or remove portions of these Terms and applicable Policies at any time. You acknowledge and accept that these Terms and Agreement may be amended from time to time and such amendments will become effective and binding on You, from publication, or announcement, or communication of the amendment on the Platform. Your continued use of the Platform (and its Services) after such publication or announcement or communication of the amendment, shall confirm Your consent to and acceptance of such amendments.
- While We will always provide You with prior notice of material changes in Our Policies (including these Terms and Our Privacy Policy) where reasonably practicable, it is Your responsibility to review these Terms and the Agreement periodically for updates/changes. Therefore, You are encouraged to revisit the Platform to be updated as regards any amendments.
- Feedback: Please contact Us at: support@myatlasedu.ai or at such other email address as may be displayed in the support section of the Platform in case You have any questions or doubts pertaining to the Services and/or the Platform, or if You wish to share Your suggestions/improvements, experience, comments and requests as regards the same (collectively "Feedback"). We welcome any Feedback the User(s) might have on the Platform and Services provided; You acknowledge and accept that the Feedback You may provide regarding the Platform and/or the Services is entirely voluntary and We will be free to use such Feedback as We see fit and without any obligation to You. We shall not be subject to any obligation of confidentiality in relation to any submitted Feedback; We shall not be liable in any way for any delay in responding to any Feedback forwarded by You. If You provide Feedback, You represent, warrant, and covenant to Us that Your Feedback does not violate the rights, including publicity, intellectual property rights, personality or any other rights, of any person and/or third party. Further, You grant Us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and fully sub-licensable right to use, reproduce, publish, distribute, publicly display, publicly perform, translate, adapt, modify, telecommunicate, rent out, commercialize, monetize, and create derivative works from the Feedback in any way and for any purpose without providing any compensation to You or any other person. You also grant Us the right to use the Credentials (as defined below) and other details You submit with the Feedback (if any) in connection with Our rights hereunder.
- In case You have any Grievances (as defined herein below) in relation to the Platform and/or Our Services, please contact the Grievance Officer (as defined below) in accordance with these Terms.
Section 4
Eligibility and Use of Services
- Registration and Access: A User Account is required to access Services on the Platform. The School authorizes specified Ardee staff and provides them with administrative access to the Platform via administrative Accounts. Accounts for Students and their Legal Guardians are created by Ardee staff on their behalf, subject to satisfactory completion of the School's internal enrollment and verification procedures. Following completion of such procedures, the School will generate and share each User's login credentials (being the unique username and password for each respective Student and their Legal Guardian), which Users can thereafter utilize to access their Account on the Platform (together the "User ID" or "Credentials"). For further background regarding the information We collect and process in connection with Your Account and enrollment, please refer to our Privacy Policy.
- Following creation of the User's Account on the Platform, subject to appropriate verification process(es) undertaken by Us in Our sole discretion, an acknowledgement of the activation of Your Account, along with the details of Your Credentials, shall be communicated by Us to one or more of the contact details provided by You at the time of enrollment with the School. It is reiterated that access to the Platform and its Services is strictly limited to, and intended for, Students, Legal Guardians, and Ardee Staff of the School, and You are encouraged not to share Your Credentials with any other parties, for security and safety purposes. If We become aware of any User accessing the Platform in violation of the eligibility requirements set out herein, or engaging in any actions or unfair practices (including, but not limited to, collusion, scripting, or cheating) in connection with Our Services or in violation of Our Policies, We reserve the right to immediately suspend, cancel, or revoke such User's access to Our Platform and Services, in accordance with the Agreement and without any further notice, compensation, or obligation to You.
- User Information: Your User Information, including Your User ID, as available with Us, is treated as Your primary identification on the Platform. It is reiterated that it is Your responsibility to ensure that the User Information You provide on the Platform is valid and remains updated at all times. We are not liable for non-rendering of requested Services owing to any incorrect or invalid information that is reflected/uploaded by You or at Your end in any way. You acknowledge and agree that We may share User Information or any other information in Our control or possession with (i) appropriate authorities for the purpose of verification of identity or for the prevention, detection, investigation or prosecution of offences under any law for the time being or for cyber security incidents; (ii) relevant third parties such as Our Business Partners for the purposes and in the manner further elaborated in Our Privacy Policy. Further, We may preserve such information and associated records as may be required for evidentiary and investigation purposes for a statutorily prescribed period.
- We collect, access, process, and transfer User Information solely for the purposes set out in these Terms and the Agreement. For detailed information regarding how We use, store and secure Your information, please refer to Our Privacy Policy.
- Services: The Platform serves as the primary digital interface between the School, its Students, Legal Guardians, and Ardee Staff, and provides each category of User with role-based access to services and functionalities relevant to their respective capacity. For reference, Students and Legal Guardians are provided access to the front-end interface of the Platform upon formal enrolment with the School in the manner mentioned herein, while Ardee Staff are provided back-end access to the Platform to upload, manage, and administer relevant Student information and academic records.
- Users comprising Ardee Students and their Legal Guardians are not required to, and do not, self-register on the Platform. User Accounts are created and credentials are issued by Us based on the verified Student and Legal Guardian information provided to the School for the purpose of enrolment in the manner mentioned herein. As part of the Services, Students and their Legal Guardians may access academic progress information, attendance and timetable details, school calendar and events, Student information and profile management, role-based communication tools (restricted to the relevant Ardee Staff, Students, and Legal Guardians mapped to a Student's academic records), and such other features and functionalities as may be introduced by the School on the Platform from time to time. Users acknowledge that access to specific features and functionalities of the Platform is determined by their respective role and is subject to the role-based permissions assigned to them by the School in accordance with the Agreement.
- Atlas Score: The Platform computes and displays an Atlas Score in respect of each Student, which is an indicative composite performance metric generated on the basis of academic, activity-related, and performance-related information recorded on the Platform by Ardee Staff. For reference, the Atlas Score is computed based on overall performance of Student(s) across three primary pillars: (i) Academics โ evaluation of academic performance based on completed assessments and homework quality; (ii) Consistency โ measures whether Students consistently complete academic work; (iii) Growth โ measures improvement, consistency and planning habits. The Atlas Score is intended to provide Students and their Legal Guardians with an overview of the Student(s) academic progress and engagement.
- AI-driven Academic Support: The Platform incorporates certain AI-driven features to support Students in their academic journey, including study assistance, homework tracking, academic notifications and reminders, and doubt resolution support. Such AI-driven features process academic information only, such as homework status, assignment records, and other learning-related information, and do not process or rely upon sensitive personal information for AI-driven decision-making. Users acknowledge and agree that such AI-driven features are intended solely to assist and support Students in connection with their academic activities, that any output generated through such features is indicative in nature and does not substitute for the guidance or assessment of a qualified teacher or educational professional, and that such features do not make or influence any decision affecting Student admissions, evaluations, or other administrative outcomes. The School does not guarantee the accuracy, completeness, or reliability of any output generated through the AI-driven features of the Platform.
- Permissible Use of Our Services: The Platform is intended solely for use by Students, Legal Guardians, and Ardee Staff enrolled or engaged (as applicable) with the School in India in connection with the School's educational and administrative services. Users are permitted to use the Services only for lawful, non-commercial purposes, strictly in connection with Students' enrollment with the School, and in compliance with these Terms and the Agreement. The Platform and its Services, including any AI-driven features made available on the Platform, are not intended for use for any purpose outside the scope of the School's educational and administrative operations.
- We deploy reasonable technical and organizational measures to detect and prevent the submission of inappropriate, unlawful, false, or irrelevant Content or information on the Platform, which is not aligned with Our Agreement or intended purpose of Our Services. Notwithstanding the foregoing, You remain solely responsible for the Content and Personal Information submitted by You through the Services and, in accordance with these Terms and Our Privacy Policy, must ensure that such inputs are lawful, accurate, and appropriate.
- The AI-driven features on the Platform are intended solely to support and assist Students in their academic journey and are not intended to substitute for the guidance of a qualified teacher or educational professional. By using the Services, You understand and acknowledge that any output generated through the same is indicative in nature and is highly reliant on the scope and accuracy of the prompts, inputs, information and other Content You provide to the Platform.
- Third-Party Resources and Software: The Platform and Our Services may incorporate third-party software and resources, including application programming interfaces (APIs) and open-source solutions ("Third-Party Software"), which are governed by separate terms and conditions maintained by independent service providers, including Our Business Partners, such as cloud hosting and data storage service providers. Such Third-Party Software is used to power certain components of Our Services on the Platform. By accepting these Terms and/or accessing or using the Services and/or the Third-Party Software, You also agree to be bound by the applicable terms and conditions of the relevant Third-Party Software providers.
- By using the Platform or accessing any of the Services, You represent and warrant to Us that You:
- are of legal age under the Applicable Law and have the legal right, capacity, and power to accept the provisions of these Terms in accordance with the Applicable Law with respect to Yourself or (where applicable) a Minor (being an individual having attained the age of at least thirteen years) under Your care as his/her Legal Guardian;
- have read, understood, and agree at all times to abide by the provisions of these Terms as well as the Privacy Policy and Agreement published on the Platform which are binding and enforceable against You and will revisit the Platform, from time to time, to review any updates and amendments to such policies, these Terms and any other Agreement as may be published or updated on the Platform from time to time;
- are an Indian resident;
- shall be solely and entirely responsible for any activity, including any act or omission, that occurs on or through Your Account. Accordingly, We encourage You to maintain control over, and security of, Your Account, such as by not disclosing Your User ID, not sharing Your Account, or allowing anyone other than Yourself to access Your Account and avail Services accessible under Your Account; and
- have the responsibility of providing correct, valid, complete, accurate and up-to-date User Information for the purpose of generating an Account and/or at any time required thereafter and ensuring that the User Information is provided, maintained, and updated regularly as and when necessary, in accordance with the Terms;
- are qualified to access and use the Platform and Services and meet all requirements under these Terms read together with the Agreement published on the Platform (as may be updated from time to time).
- We may, in Our sole and absolute discretion, at any time request Users for any information as We may require for verification of the identity of the User or to verify that the User is using the Platform / availing the Services in conformity with these Terms. For instance, if We have reason to suspect that any Minor or any other User is making use of the Platform in a manner not permitted in these Terms, We reserve the right to request further information from the relevant User under suspicion for the purpose of verification that such User and/or the User's Account is compliant with the Terms, in the manner mentioned herein at Our sole discretion. If We find that a relevant User is not in compliance with the Terms in any way, We further reserve the right to take suitable action against such User in the manner mentioned herein as it may deem fit at Our sole discretion.
Section 5
User Obligations and Responsibilities
- Each User acknowledges and accepts that if the relevant User provides any information that is untrue, inaccurate, not current or incomplete as part of the User Information, and/or We have reasonable grounds to suspect that any information provided by the relevant User is untrue, inaccurate, not current or incomplete, or not in accordance with these Terms, We have the right, at Our sole discretion, to (i) request You to promptly update or correct such User Information; and/or (ii) immediately and indefinitely suspend Your Account, block Your access to the Platform, terminate and/or delete Your Account and/or refuse to provide any current or future Services to You, as may be offered on the Platform. If We are not satisfied with such verification or discover any non-compliance by a User, We reserve the right to take suitable action against the User in accordance with these Terms, including but not limited to refusing the Services and/or taking suitable legal action under the Applicable Law, in its sole discretion.
- You are solely responsible for ensuring security of Your Account, by ensuring that Your Credentials received by You are not compromised, shared with anyone, or mishandled. Any loss resulting from the unauthorized use of Your Credentials is Your responsibility alone. If You suspect that an unauthorized person has become aware of Your User Credentials, We encourage You to immediately contact Us for assistance and request that We change Your User Credentials forthwith. You are further responsible for ensuring Your compliance under the Terms or any other applicable Agreement of the Platform, including maintaining the security and confidentiality of Your Account and User Information, and Your activity on the Platform, including all and any activities that take place in, or occur under, or are associated with Your Account (as applicable), and any consequences thereof. User(s) acknowledge and accept that the account/Services shall not be used for any purposes which are prohibited under the Applicable Law, the Terms, or any other applicable Agreement of the Platform. We shall not be liable for any repercussions, legal or otherwise, including loss or damage arising from a User's failure to comply with the same. We shall not be responsible for any unauthorized use of Your Account in any manner whatsoever.
- You agree that You shall not upload or share any information or Content on the Platform and/or through use of Our Services that:
- belongs to another person and to which the User does not have any right or authority under the Applicable Law;
- is false, misleading, fraudulent, defamatory, obscene, pornographic, pedophilic, invasive of another's privacy, including bodily privacy, insulting or harassing on the basis of gender, libelous, racially or ethnically objectionable, relating or encouraging money laundering or gambling or an online game that causes user harm, or promoting enmity between different groups on the grounds of religion or caste with the intent to incite violence, or otherwise inconsistent with or contrary to the laws in force;
- is harmful or has a detrimental effect upon children / Minors in any way;
- infringes any patent, trademark, copyright or other intellectual property and proprietary rights of any natural or legal person under the Applicable Law;
- deceives or misleads the addressee about the origin of the message or knowingly and intentionally communicates any misinformation or information which is patently false and untrue or misleading in nature, or, which in respect of any business of the Indian Government, is identified as fake or false or misleading;
- impersonates another person or uses an anonymous proxy;
- threatens the unity, integrity, defense, security or sovereignty of India, friendly relations with foreign nations, or public order, or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting to other nations;
- contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
- is in the nature of an online game which is subject to prohibition under prevailing Applicable Law or order of any competent authorities in India or is in the nature of advertisement or surrogate advertisement or promotion of such an online game or of any online gaming platform offering such an online game; and/or
- violates any law for the time being in force or may give rise to any liability on the part of the Proprietor or cause Us any hindrance (in whole or in part).
- We do not publish and We do not permit Our Users to upload (for publication) any unlawful information or content which is prohibited under these Terms or Agreement or any law for the time being in force, including any content which is or is likely to be perceived as being harmful to the interest of sovereignty and integrity of any country, security of India, friendly relations with foreign states, public order, decency or morality, amounts to contempt of court, defamation, incitement to an offence etc. Upon actual knowledge that any such information or content has been provided on the Platform, We shall have the right to promptly remove the same. Further, in such case and in any other case of any violation of these Terms, We have the right to take appropriate action against the User at Our discretion in accordance with the law. You shall be given reasonable and adequate opportunity to dispute the action being taken by addressing Your requests and complaints to Our Grievance Officer in accordance with Our grievance redressal mechanism (detailed hereinafter).
Section 6
General Disclaimers
- We reserve the right to add, amend or discontinue, temporarily or permanently, any of Our Services (or any part thereof) offered through the Platform or the design and functionality of the Platform, at any time, with or without notice and/or reason(s) in Our sole and absolute discretion. Users agree that We shall not be liable either to User or to any third party for any modification, suspension or discontinuance of any of the Services or participation in the Services including without limitation any failure of performance, inaccuracy, error, omission, interruption, deletion, loss of information, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, alteration of, or use of records, whether for breach of contract, tortious actions, negligence, or under any other cause of action.
- You acknowledge and accept that despite Our efforts, the Platform may be unavailable from time to time for any reason including, without limitation, routine maintenance. In addition, various portions of the Platform and/or Services may operate slowly from time to time. You further acknowledge and accept that due to circumstances, within and outside Our control, access to the Platform and/or Services may be interrupted, suspended, or terminated from time to time. In particular, and not in limitation of the foregoing, We shall not be liable for the effects any delay or unavailability of the Platform and/or Services may have on You and/or Your Account, or for any damages arising from any such interruption, suspension, or termination of the Platform/Services. We shall not bear any liability for any damage or interruptions caused by any computer viruses, spyware, or other malware that may affect Your computer or other equipment, or any phishing, spoofing, or other attack and We advise You to make regular use of a reliable virus and malware screening and prevention software to guard against the same.
- You agree and acknowledge that the Platform and Services is licensed and/or provided hereunder on an "as is" and "as available" basis, without any warranties of any kind, either express or implied including, but not limited to, the implied conditions and warranties of fitness for a particular purpose to the extent permitted by the Applicable Law. Except as explicitly set forth herein, neither We nor Our authorized representatives (including agents, permitted successors and assigns ("Representatives")) make any warranties of any kind, either expressed or implied, including, without limitation: warranties of merchantability or fitness for a particular purpose related to the use of Platform and/or Services; or that the same are accurate, error-free, reliable, uninterrupted, that defects will be corrected; or the completeness, accuracy, availability, timeliness, security or reliability of the Platform and/or Services or the functionality thereof, or other use or consequence of the use of Platform and/or Services.
- We are not responsible for Your actions or omissions (whether online or offline) in relation to the Platform and Services and/or Us. We are not responsible for services and features offered by others, even if You access them through the Services. Our responsibility for anything that happens on Our Platform is strictly governed by the Applicable Law and is limited to that extent. You agree that We will not be responsible for any loss of profits, revenues, information, or data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms, even if We know they are possible. This includes when We delete Your Content, information, or Account.
Section 7
Suspension / Cancellation of User Account or Service Access
- We reserve the right to immediately disable or terminate or cancel Your Account and/or suspend Your access to the Platform and/or Services at any time, with or without notice to You, in Our sole and absolute discretion, in case of Your contravention or violation of these Terms and applicable Policies; or Your illegal acts or omissions; or misuse of the Services or Platform; or to protect You and others from identity theft or other fraudulent or illegal activity under the Applicable Law, or if We are unable to continue providing the Services to You due to technical or legitimate business reasons. In the event Your access is disabled or Your Account is deleted by Us due to a violation of the Terms, the Agreement, and/or the Applicable Law, We reserve the right to take action against You and any other remedies We may have under the Terms, Agreement and Applicable Law.
- If You wish to de-activate or terminate Your Account on the Platform and/or Your use of any Services thereon, You may reach out to Us with such request by contacting Us at support@myatlasedu.ai in accordance with these Terms.
- You acknowledge and accept that upon termination of Your Account or suspension or termination of Your access to the Platform or Services for any reason, Your rights under the Policies (including Our Privacy Policy and these Terms) shall be terminated, and You shall no longer be entitled to access the relevant Services or features of the Platform.
- You acknowledge and accept that, upon termination of Your Account, or suspension or termination of Your access to the Platform or Services for any reason, You shall no longer be entitled to access the relevant Services or features of the Platform for the duration of such suspension or termination, as applicable. You further agree and acknowledge that Your rights in respect of the Services, and other benefits associated with the Account created for You on the Platform or Your use of the Services, may be irrevocably lost upon termination, and You agree to release Us from any liability of any nature in respect of the loss of the same. You further acknowledge and accept that, in the event of termination of these Terms in any manner, or suspension or termination of Your access to the Platform and/or the Services, or deactivation or cancellation of Your Account, You shall remain liable for all activity conducted with or in connection with Your Account (as may be applicable) while it was in operation. The obligations and liabilities incurred by You prior to the termination or withdrawal of Your Account access shall survive termination of Your access, Your Account, and Your agreement with Us.
Section 8
Intellectual Property
- Unless expressly provided or disclaimed otherwise in these Terms or any Agreement or under any other disclaimer published on the Platform, all material and content on the Platform including without limitation, ancillary texts, software, code, scripts, graphics, rights in get-ups, typographic typefaces, graphic user interface, photos, collages, sounds, music, audio, videos, interactive content, and the like, online databases, copyright, patents, related rights and moral rights, trademarks, trade names, product names, service marks, logos, rights in domain names, social media handles, rights in the design, rights in the information and all other or equivalent rights subsisting now or in future in any part of the world in each case, whether registered or unregistered, and all applications for the same (collectively "Intellectual Property"), are owned by or licensed to Us and are provided to You on an "as is" basis for Your access and use only for the purpose of rendering Services mentioned herein. Nothing in the Terms assigns, transfers or grants You ownership in Our Intellectual Property and nothing in these Terms shall be deemed to confer ownership or other rights in such Intellectual Property to the User.
- You shall not use any device, program, algorithm or methodology, or any manual or digital process, to access, acquire, copy or monitor any portion of the Platform or any content, such as the Intellectual Property on the Platform to which You have no rights, or in any way reproduce or circumvent the navigational structure or presentation of the Platform or any such content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Platform. You shall not directly or indirectly copy, reproduce, sell, distribute, exploit, or use all or any part of the Platform and/or Services whether electronically, mechanically, or otherwise, in any form for any purpose not expressly permitted by the provisions of these Terms, including any attempt to violate the security thereof. You shall not reverse engineer, decompile, disassemble or otherwise attempt to derive source code or other trade secrets from the Platform / Services, including any of the software comprising or in any way making up a part of the same.
- All rights and interest in Intellectual Property comprised in the Platform and Services (excluding Personal Information and Content relating to You) are and will remain the exclusive property of Us and Our licensors (as may be applicable). You acknowledge and agree that all worldwide rights, title, and interest in any third-party software, products, and/or services (and any Intellectual Property Rights therein) accessible on the Platform or through the Services, subject to third party licenses, if any, are owned by such third parties. Any copying or reproduction of these materials for commercial purposes without Our consent is prohibited. Any use for which You receive any remuneration, whether monetarily or otherwise, is construed as commercial use for the purpose of this clause and We shall hold You accountable for the infringement of intellectual property rights under Applicable Law.
Section 9
Indemnification
- To the extent permitted by the Applicable Law, We shall not be liable to You for any manner of damages or losses to You, and in relation to any person(s) or property (including special, incidental, indirect, punitive, or consequential damages or losses) including, but not limited to, lost profits or data, whether based in contract, negligence, tort, or Applicable Law, arising directly or indirectly in relation to the Terms, the Agreement, the Platform and Services (and any related activities, deficiencies, inaccuracy, omissions, interruptions, deletions or defects in the same including any action in connection with an investigation by Us or law enforcement authorities in relation to the use of the Platform and/or Services) in accordance with these Terms, even if advised of the possibility of such damages.
- You agree to indemnify, defend and hold Us harmless from and against any claims (including any claims based on defamation, or invasion of privacy), proceeding, loss, damage, liability, cost, demand or expense (including but not limited to attorney's fees) of any kind arising out of: (i) Your access to or use of the Platform and Services; (ii) any breach by You of Your obligations, representations, and/or warranties outlined in these Terms, Agreement; (iii) Your violation of the rights of any third party, including any infringement of intellectual property, or of any privacy or consumer protection right; (iv) any violation of law or contractual obligation and any claims, demands, notices pursuant to such violation; (v) Your negligence or willful misconduct or any of Your actions and omissions including Your use or attempted use of the Platform and its Services, or failure to take appropriate action where relevant while using the Services and Platform. It is clarified that Your obligation to indemnify Us will survive termination of the Terms, Agreement and Your access and Account for any reason, in the manner mentioned in these Terms.
- You hereby agree and acknowledge that We shall not be responsible for any actions taken by any third party using the Platform including but not limited to, actions, omissions, or conduct of such third parties (including the Business Partners and other Users), online or offline. You acknowledge and agree that any disputes, complaints or grievances regarding the actions and omissions of such third parties and/or any other aspect of any transaction or other commercial dealings between You and such third party will be solely and entirely between You and the relevant third party.
Section 10
Dispute Resolution
The courts of competent jurisdiction at Delhi, India ("Court(s)") shall have exclusive jurisdiction to determine any and all matter(s), claim(s) or dispute(s), whether contractual or non-contractual arising out of, or in connection with, the Terms, Policies, the Platform and Services provided by Us ("Dispute(s)") including in relation to the construction, validity, interpretation and enforceability of these Terms, or the rights and obligations of the User or Us, as well as the exclusive jurisdiction to grant interim or preliminary relief in case of any Dispute referred to arbitration in the manner mentioned herein. All Disputes shall be governed and construed by the Courts in accordance with the Applicable Law. In the event of any legal dispute (which may be a legal issue or question) which may arise, the party raising the dispute shall provide a written notification ("Notification") to the other party. On receipt of Notification, the parties shall first try to resolve the dispute through discussions. In the event the parties are unable to resolve the dispute within thirty (30) days of receipt of Notification, then the dispute shall be settled by arbitration. The place of arbitration shall be Delhi, India ("Venue"). All arbitration proceedings shall be presided by a sole arbitrator appointed by Us and conducted in the English language in accordance with the provisions of the Arbitration and Conciliation Act, 1996 and the Rules made thereunder, as amended from time to time. The arbitration award will be final and binding on the Parties, and each Party will bear its own costs of arbitration and equally share the fees of the arbitrator unless the arbitral tribunal decides otherwise. The arbitrator shall be entitled to pass interim orders and awards, including orders for specific performance, and such orders would be enforceable in competent courts. Nothing contained in these Terms shall prevent Us from seeking and obtaining interim or permanent equitable or injunctive relief, or any other relief available to safeguard Our interest prior to, during or following the filing of arbitration proceedings or pending the execution of a decision or award in connection with any arbitration proceedings from any court having jurisdiction to grant the same. The pursuit of equitable or injunctive relief shall not constitute a waiver on Our part to pursue any remedy for monetary damages through the arbitration described herein. You consent to the exclusive jurisdiction of the Courts and the Venue and waive any objection as to inconvenient forum.
Section 11
General
- The Terms read along with the Agreement and Policies (including the Privacy Policy) constitute the entire agreement between You and Us in respect of the subject matter herein and supersedes all previous written or oral representations, agreements, and understandings, whether expressed or implied, with respect to such subject matter.
- Each of the provisions of the Terms is severable. If any provision of these Terms (or part of a provision) is found by a governmental authority or court to be invalid, unenforceable, or illegal, that provision will be enforced to the maximum extent permissible under the Applicable Law and the other provisions of the Terms will remain in full force and effect. If any invalid, unenforceable or illegal provision would be valid, enforceable, or legal if some part of it were deleted or modified, the provision will apply with whatever modification is necessary to give effect to the intention of the provisions in these Terms.
- You shall not, without Our prior written consent, assign the provisions of these Terms, in whole or in part, either voluntarily or by operation of Applicable Law, and any attempt to do so will be a material default of these Terms and such assignment will be void. We may assign the provisions of these Terms in part or in their entirety, including Our rights, interests, and obligations hereunder, without notice to You or Your consent. The provisions of these Terms are solely for the benefit of You and Us, Our successors and permitted assigns, and does not confer any rights or remedies on any other person or entity.
- No failure or delay by Us in exercising any right, power or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of the same preclude any further exercise thereof or the exercise of any other right, power or remedy. Without limiting the foregoing, no waiver by Us of any breach of any provision of these Terms or Agreement shall be deemed to be a waiver of any subsequent breach of that or any other provision of these Terms or Agreement. If We fail to enforce any aspect of these Terms, including reporting any illegal or impermissible actions to appropriate law enforcement authorities or blocking or suspending Your access to the Service or Account, such failure to enforce Our rights will not be a waiver by Us.
- We shall not be liable for damages for any delay or failure to perform Our obligations hereunder, if such delay or failure is due to causes which are unforeseen or beyond Our control, including, without limitation, internet attacks, emergencies, internet unavailability, any law, proclamation, regulation, ordinance, or other act or order of any court, government or governmental agency, acts or omissions of carriers, transmitters, providers, or acts of vandals or hackers, etc. The time for performance of such obligations by Us will be extended for the period of the delay or failure to perform due to such occurrence. We shall use reasonable endeavors to overcome the effects of any such causes and to ensure resumption of normal performance of obligations as soon as reasonably practicable; however, it is clarified that We are not responsible for losses that were not foreseeable to You and the School when these Terms were entered into.
- Any provisions in the Terms or Agreement which are expressly referred to as surviving or intended to survive by their nature will survive the termination of Your relationship with Us for any reason.
- You shall be responsible for providing such further information, documents or instruments, and taking such further actions, reasonably requested by Us to effect the purposes of these Terms and carry out its provisions.
Section 12
Grievance Redressal
- If any User or aggrieved person (including persons acting on their behalf) has any complaint or grievance in respect of any Services provided on the Platform or any breach of Our Terms, Privacy Policy or any other policy ("Grievance"), the same can be addressed to Our designated grievance officer, the name and contact details of whom are published on Our Platform ("Grievance Officer"). We shall not be responsible in the event that You address any communication to any non-designated person in this regard. Any Grievances received under this paragraph shall be dealt with in adherence to the timelines specified under the Information Technology Act, 2000 and the applicable rules notified thereunder.
